These Terms and Conditions govern your access to and use of all products, services, websites, platforms, tools, assessments, content, events, memberships, software, certifications, coaching programs, AI systems, and related offerings provided by MDPP, LLC, including but not limited to MPHIOS®, MindPersonas®, MindPersonas Human Identity Operating System™, Mystic Personas®, PersonaForce™, PersonaForce LIVE™, PersonaForce Trader™, PersonaForce Sports™, PersonaForce Legal™, PersonaForce Executive™, PersonaForce CEO™, PersonaForce Coach™, Ask AURI™, Echo™, and all related current or future brands, systems, methods, and verticals.

By accessing or using any MDPP, LLC product, service, website, digital experience, assessment, training, certification, AI tool, or event, you agree to these Terms.

If you do not agree, do not use the Services.

1. Definitions

“Company,” “Owner,” “we,” “us,” or “our” means MDPP, LLC and its authorized affiliates, licensors, representatives, contractors, coaches, facilitators, presenters, and platform partners.

“User,” “you,” or “your” means any person or entity accessing or using the Services.

“Services” means all websites, platforms, programs, events, memberships, courses, assessments, dashboards, software, AI tools, certifications, coaching services, live trainings, consulting services, downloadable materials, community access, digital products, and related offerings provided by MDPP, LLC.

“Company IP” means all intellectual property owned, licensed, created, developed, used, or controlled by MDPP, LLC, including all names, brands, marks, frameworks, methods, systems, tools, decks, models, assessments, algorithms, prompts, scripts, workflows, training materials, certification materials, visuals, language, exercises, dashboards, reports, archetypes, personas, maps, blueprints, outputs, written materials, audio, video, graphics, logos, and related materials.

“MPHIOS” means the MindPersonas Human Identity Operating System and all related methods, frameworks, models, assessments, maps, persona systems, identity structures, and applications.

“PersonaForce” means the performance, leadership, identity, organizational, sports, trader, legal, executive, CEO, coach, and vertical-specific applications of MPHIOS and related Company IP.

2. Scope of Services

MDPP, LLC provides identity-based educational, coaching, performance, organizational development, self-awareness, communication, leadership, and transformation resources.

The Services may include:

Digital content and memberships

Personality, identity, and performance assessments

Persona maps, identity blueprints, reports, and dashboards

AI-assisted tools, including Ask AURI™, Echo™, and related systems

PersonaForce trainings, events, activations, and live experiences

PersonaForce Trader, Sports, Legal, Executive, CEO, Coach, and other vertical programs

Certification programs and facilitator training

Coaching, consulting, workshops, and group programs

Downloadable tools, prompts, workbooks, decks, scripts, and templates

Enterprise, team, sports, legal, trading, executive, and organizational applications

We may update, expand, remove, rename, or modify the Services at any time.

3. Eligibility and User Requirements

You must be at least 13 years old to use the Services.

If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian.

By using the Services, you represent that:

You are legally able to enter into these Terms.

You will provide accurate information.

You will not use the Services for unlawful purposes.

You are not located in a restricted or embargoed jurisdiction.

You are not barred from using the Services under applicable law.

Certain Services, including coaching, certification, enterprise engagements, trading-related programs, legal-adjacent programs, or executive programs, may require additional eligibility requirements or agreements.

4. Account Registration

You may be required to create an account to access certain Services.

You agree to:

Provide accurate and current information.

Keep your login credentials secure.

Not share your account without permission.

Notify us immediately of unauthorized use.

Be responsible for all activity under your account.

We may suspend, restrict, or terminate any account that violates these Terms.

5. Intellectual Property Ownership

All Company IP is owned by MDPP, LLC or its licensors.

This includes, without limitation:

PersonaForce Trader™

PersonaForce Sports™

PersonaForce Legal™

PersonaForce Executive™

PersonaForce CEO™

PersonaForce Coach™

Ask AURI™

Echo™

Identity Performance™

Identity Performance Activation™

Identity Performance Integration™

Persona maps, identity blueprints, dashboards, assessments, reports, and frameworks

The 102 Mystic Personas system and all related persona categories, names, structures, meanings, and applications

The DecaCanon™, Experience OS™, Presentation OS™, PFUIA™, PersonaForce University™, and all related systems

Prompts, scripts, hypnosis scripts, facilitation methods, training sequences, certification materials, visual language, decks, diagrams, graphics, copy, and curriculum

All derivative works, adaptations, improvements, and extensions of Company IP

You do not acquire ownership of any Company IP by using the Services.

6. Limited License to Use Content

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use.

You may not:

Copy, reproduce, resell, license, distribute, publish, or commercialize Company IP.

Train AI systems, bots, models, or software using Company IP without written permission.

Reverse engineer, scrape, extract, or replicate Company systems, assessments, prompts, frameworks, outputs, or methods.

Create competing products, assessments, courses, certifications, coaching programs, AI tools, or frameworks based on Company IP.

Remove trademarks, copyright notices, branding, disclaimers, or ownership notices.

Use Company IP to train, certify, coach, consult, or facilitate others unless expressly authorized in writing.

Any unauthorized use automatically terminates your license.

7. Certification, Licensing, and Facilitator Restrictions

Participation in any PersonaForce, MPHIOS, MindPersonas, or related certification program does not give you ownership of Company IP.

Unless a separate written license agreement says otherwise, certification does not allow you to:

Teach Company materials publicly.

Certify others.

Create derivative courses or programs.

Use Company trademarks in your business name or marketing.

Represent yourself as an official Company facilitator, trainer, coach, architect, or partner.

Sell MPHIOS, MindPersonas, PersonaForce, or related methods as your own.

All certification, licensing, facilitator, enterprise, affiliate, or partner rights must be granted in a separate written agreement signed by MDPP, LLC.

8. AI Tools, Automated Outputs, and Digital Guidance

Some Services may use artificial intelligence, automation, algorithms, prompts, or digital interpretation tools.

AI-generated outputs may include identity maps, persona reflections, blueprint reports, coaching prompts, dashboard feedback, trading identity reflections, sports performance reflections, leadership guidance, or communication suggestions.

You understand and agree that:

AI outputs are informational and educational.

AI outputs may be incomplete, inaccurate, or inappropriate for your specific situation.

You are responsible for your own decisions and actions.

AI tools do not replace professional medical, psychological, legal, financial, investment, trading, tax, therapeutic, or emergency advice.

We may update, modify, improve, restrict, or discontinue AI tools at any time.

You should use your own judgment and seek qualified professional help where appropriate.

9. No Medical, Mental Health, Legal, Financial, or Investment Advice

The Services are provided for educational, coaching, identity-awareness, performance, and personal development purposes.

They are not:

Medical advice

Mental health treatment

Psychotherapy

Legal advice

Financial advice

Investment advice

Trading advice

Tax advice

Emergency support

Diagnosis or treatment of any condition

PersonaForce Trader does not provide trading recommendations, brokerage services, investment advice, financial planning, or guarantees of profit.

PersonaForce Legal does not provide legal advice, legal representation, attorney-client privilege, legal strategy, or court-ready legal opinions unless separately provided by a licensed attorney under a separate engagement.

PersonaForce Sports does not provide medical care, injury treatment, athletic training, physical therapy, or guaranteed performance outcomes.

PersonaForce CEO, Executive, Coach, Leadership, and Enterprise programs provide educational and performance development support only.

Always consult qualified professionals for legal, medical, financial, psychological, trading, or other regulated advice.

If you are experiencing a medical, mental health, or safety emergency, contact emergency services immediately.

10. Results Are Not Guaranteed

We may share stories, testimonials, examples, case studies, or outcomes.

These are not promises or guarantees.

Your results depend on many factors, including your effort, situation, experience, team, market, emotional state, business conditions, financial decisions, professional support, and implementation.

We do not guarantee:

Income

Trading profits

Athletic performance

Legal outcomes

Business results

Relationship outcomes

Personal transformation

Emotional improvement

Team performance

Certification approval

Client acquisition

Specific measurable results

You are responsible for your own choices, actions, risks, and outcomes.

11. Payments, Subscriptions, and Refunds

Certain Services may require payment, subscription, or membership fees.

By purchasing, you agree to pay all listed fees and applicable taxes.

Subscription services renew automatically unless canceled according to the cancellation instructions provided at purchase.

Refund policies may vary by offer, program, event, subscription, digital product, or enterprise agreement.

Unless stated otherwise:

Digital products are non-refundable once accessed or delivered.

Membership fees are non-refundable after billing.

Live event deposits may be non-refundable.

Custom work, consulting, coaching, assessments, certification, and enterprise engagements may be non-refundable once work has begun.

Refunds are not provided for failure to use purchased Services.

Any specific written agreement or checkout terms control if they conflict with this section.

12. User Content and Submissions

You may submit answers, forms, assessments, prompts, messages, comments, recordings, testimonials, feedback, uploaded files, or other content.

You retain ownership of your original User Content.

By submitting User Content, you grant MDPP, LLC a worldwide, royalty-free, non-exclusive license to use, store, process, display, reproduce, analyze, adapt, and create outputs from your User Content for the purpose of providing, improving, personalizing, securing, and developing the Services.

If you submit testimonials, reviews, case studies, results, or public feedback, you grant us permission to use them for marketing unless you revoke that permission in writing.

You agree not to submit content that is unlawful, harmful, abusive, defamatory, infringing, confidential without authorization, misleading, or malicious.

MDPP, LLC uses SMS messaging to send service-related notifications, updates, and marketing messages to customers who have explicitly opted in separately for each type of message. Messages may include account updates, service alerts, promotional-related communications. Consent is collected through compliant opt-in processes, the information and opt-in is not shared with third parties, and recipients may opt out at any time by replying STOP. To stop receiving messages, reply STOP to any text message.

Message and data rates may apply. Check with your carrier for details.

Carriers are not liable for delayed or undelivered messages.

You must be 18 years of age or older to use this SMS service.

13. Feedback and Improvements

If you provide ideas, suggestions, feedback, corrections, improvements, frameworks, names, prompts, workflows, or recommendations related to the Services, you agree that we may use them without compensation, restriction, or obligation.

Any improvements, modifications, or derivative works relating to Company IP remain the property of MDPP, LLC.

14. Data, Research, and Aggregated Insights

We may use anonymized, de-identified, or aggregated data to improve the Services, develop research, create benchmarks, improve assessments, train internal systems, publish insights, build dashboards, and improve MPHIOS, MindPersonas, PersonaForce, and related tools.

We will not intentionally publish personal identifying information without consent.

Use of personal information is governed by our Privacy Policy.

15. Privacy

Your use of the Services is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, store, protect, and share information.

If you use AI tools, assessments, forms, or dashboards, you understand that your inputs may be processed to generate outputs and improve your experience.

You should not submit highly sensitive personal, medical, financial, legal, or confidential information unless the specific Service clearly requests it and you consent.

16. Acceptable Use

You agree not to:

Violate laws or regulations.

Infringe intellectual property rights.

Misrepresent your identity or affiliation.

Harass, abuse, threaten, or harm others.

Upload malicious code, spam, or harmful content.

Scrape, crawl, copy, or extract data from the Services.

Attempt to bypass security or access restrictions.

Use the Services to build competing systems.

Use outputs to make unlawful, discriminatory, harmful, or high-risk decisions.

Share login credentials or unauthorized copies of materials.

Use Company trademarks without written permission.

We may suspend or terminate access for violations.

17. Third-Party Platforms and Links

The Services may include links, integrations, payment processors, app stores, AI providers, learning platforms, email platforms, community tools, analytics tools, or third-party websites.

We are not responsible for third-party services, content, policies, outages, errors, or practices.

Your use of third-party services may be subject to their own terms and policies.

18. Enterprise, Team, and Organizational Use

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Enterprise, team, sports, trader, legal, executive, or organizational engagements may be governed by separate written agreements.

If a separate written agreement conflicts with these Terms, the separate agreement controls only for that specific engagement.

Unless authorized in writing, organizations may not copy, distribute, train, certify, repurpose, or embed Company IP into internal programs, LMS systems, AI tools, onboarding programs, coaching frameworks, or enterprise workflows.

19. Confidentiality

Certain Services may include confidential or proprietary information, including frameworks, internal methods, facilitator standards, certification materials, prompts, dashboards, assessments, reports, business strategies, unpublished systems, and enterprise materials.

You agree not to disclose, share, publish, reproduce, or use confidential Company materials except as expressly permitted.

This obligation survives termination of your access.

20. Disclaimers

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, MDPP, LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not warrant that:

The Services will be uninterrupted or error-free.

Outputs will be accurate or complete.

AI tools will always respond appropriately.

The Services will meet your expectations.

Any specific result will occur.

21. Limitation of Liability

To the maximum extent permitted by law, MDPP, LLC and its owners, officers, members, employees, contractors, coaches, facilitators, licensors, affiliates, and representatives shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages.

Our total liability for any claim shall not exceed the amount you paid to MDPP, LLC for the specific Service giving rise to the claim during the twelve months before the claim arose, or $100 if no payment was made.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

22. Indemnification

You agree to indemnify, defend, and hold harmless MDPP, LLC and its owners, officers, members, employees, contractors, facilitators, coaches, licensors, affiliates, and representatives from claims, damages, losses, liabilities, expenses, and attorney fees arising from:

Your use of the Services.

Your violation of these Terms.

Your User Content.

Your misuse of Company IP.

Your violation of law.

Your violation of third-party rights.

Your decisions or actions based on the Services.

23. Suspension and Termination

We may suspend, restrict, or terminate your access at any time if:

You violate these Terms.

You misuse Company IP.

You fail to pay fees.

You create risk for the Company or other users.

We discontinue a Service.

We are required to do so by law.

Termination does not limit our rights to enforce intellectual property, confidentiality, payment, liability, indemnity, or dispute provisions.

24. Trademarks and Brand Use

You may not use Company names, trademarks, logos, slogans, product names, program names, certifications, or confusingly similar names without written permission.

Who Shows Up Determines Outcome.

All goodwill belongs to MDPP, LLC.

25. Updates to Services and Terms

We may update the Services or these Terms at any time.

Updated Terms become effective when posted or communicated unless a later date is stated.

Your continued use of the Services after updates means you accept the revised Terms.

If you do not agree, stop using the Services.

26. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Unless a separate written agreement provides otherwise, disputes shall be resolved in the state or federal courts located in Wyoming.

You consent to personal jurisdiction and venue in those courts.

27. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

These Terms, together with the Privacy Policy and any applicable order form, checkout terms, program agreement, enterprise agreement, certification agreement, licensing agreement, or written service agreement, form the entire agreement between you and MDPP, LLC regarding the Services.
